Client Registration Terms

1. Purpose of the registration

This Client Registration records the introduction of a buyer by an intermediary in respect of the lots indicated in the form.

On submission of the form, the system generates a registration number and records the date and time of receipt in Panama. The intermediary receives an acknowledgement by email.

The acknowledgement evidences that the registration was received. Eligibility and, where applicable, confirmation of the registration are determined in accordance with these terms.

2. Confirmation and review

Where the registration is complete and presents no matches, outstanding information, security incidents or any other exception, the system may confirm it automatically.

A confirmed registration is valid for six months from its confirmation.

If the system identifies similar data, a possible match, incomplete information or an incident requiring verification, the registration is placed under review. OP Capital will communicate the outcome in writing.

A review does not confirm that another intermediary exists, nor does it imply that the registration will be rejected. OP Capital may request additional information from the intermediary who submitted the registration where necessary to complete the verification.

The date and time of receipt are preserved during the review, but an acknowledgement of receipt does not in itself constitute confirmation of eligibility or a guarantee of commission.

3. Priority and matches

For each client and the registered lots, OP Capital will recognise the intermediary whose eligible registration is confirmed first in accordance with these terms.

A match of name, email, telephone or other data does not in itself determine that two persons are the same. OP Capital may review registrations with similar data before confirming their eligibility.

OP Capital will not disclose to the intermediary any information concerning other buyers, intermediaries, registrations, dates, lots, statuses, transactions or commissions.

4. Commission

The intermediary's commission is 5% of the final transaction amount, in accordance with these terms.

The commission is paid once the buyer has paid 100% of the agreed amount and no contractual restrictions remain outstanding.

If the buyer withdraws from the transaction after signing a promise of sale and paying the applicable deposit, the intermediary will be entitled to 25% of the deposit retained by OP Capital, equivalent to the full commission foreseen for the transaction.

5. Validity and extension

A confirmed registration is valid for six months from the date of confirmation.

OP Capital may grant an extension in writing. No extension is automatic.

6. Scope and conditions

This registration does not grant general exclusivity. It covers only the client and the lots indicated in the confirmed registration.

OP Capital sets the price, the terms and the marketing conditions. The intermediary may not offer discounts, terms or conditions other than those authorised in writing by OP Capital.

Viewings, negotiation, documentation and closing of a transaction are managed by OP Capital, save where otherwise agreed in writing.

7. Communications

OP Capital will send communications relating to the registration to the email address provided by the intermediary.

If a registration is placed under review and the intermediary does not receive an update within 48 business hours, they may write to sales@pedasioceanproperties.com before carrying out a viewing or continuing any action that requires confirmation.

The intermediary must communicate any material change in the client's details, the lots of interest or the status of the introduction.

8. Nature of the registration

This Client Registration does not constitute a promise of sale, a binding offer over the properties or a guarantee of closing.

Any transaction will be formalised by means of the applicable contractual documentation.
